These Terms & Conditions (“Terms”) govern your access to and use of SalesGuard (“SalesGuard”, “we”, “our”, or “us”), including all websites, applications, GuardLinks, buyer workspaces, vendor submissions, and Vendor Passports.
By accessing or using SalesGuard, you agree to be bound by these Terms. If you do not agree, you may not use the platform.
1. What SalesGuard Is
SalesGuard is a structured vendor intake and evaluation platform (“Vendor ATS”) that enables buyers to create official submission routes and vendors to submit information in a standardized, merit-based format.
SalesGuard does not act as a broker, agent, reseller, or procurement decision-maker. All purchasing decisions are made independently by buyers.
2. Eligibility & Accounts
- You must be at least 18 years old to use SalesGuard.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and truthful information at all times.
3. Buyer Responsibilities
- Buyers are responsible for defining their own evaluation criteria, questions, and scoring philosophies.
- Buyers acknowledge that vendor scores are assistive, not prescriptive.
- Buyers must not misuse vendor data outside legitimate procurement evaluation purposes.
4. Vendor Responsibilities
- Vendors are responsible for the accuracy of all submitted information, documents, and claims.
- Vendors must not misrepresent certifications, pricing, or product capabilities.
- Vendors acknowledge that submission does not guarantee review, selection, or commercial engagement.
5. Scoring & Integrity
SalesGuard provides explainable, rules-based scoring systems to help buyers evaluate submissions.
Important: SalesGuard does not allow pay-to-rank, paid score boosts, or undisclosed partner influence. Commercial relationships do not affect scoring outcomes.
6. Revenue Share & Payments
SalesGuard may charge subscription fees and/or participate in a disclosed revenue share when vendors report closed deals facilitated through the platform.
Revenue share percentages (typically between 0.5%–3%) are disclosed transparently and never influence evaluation or scoring.
7. Data & Confidentiality
Each party retains ownership of their own data. SalesGuard acts as a processor and custodian of information strictly for platform operation.
Buyers and vendors agree not to misuse, scrape, or redistribute data obtained through SalesGuard.
8. Prohibited Use
- Submitting false or misleading information
- Attempting to manipulate scoring or platform behavior
- Reverse-engineering or abusing system access
- Using SalesGuard for unlawful purposes
9. Termination
SalesGuard may suspend or terminate access if these Terms are violated. Users may discontinue use at any time.
10. Disclaimers
SalesGuard is provided “as is” and “as available.” We do not guarantee outcomes, deal closures, or vendor selection.
11. Limitation of Liability
To the maximum extent permitted by law, SalesGuard shall not be liable for indirect, incidental, or consequential damages arising from platform use.
12. Governing Law
These Terms are governed by the laws of the United Kingdom, without regard to conflict-of-law principles.
